LiveSotori LLC — Affiliate Terms

1) Application & Eligibility

• You must submit accurate, complete information. We may approve, reject, or revoke your participation at our sole discretion.
• You represent and warrant you are at least 18 years old and legally able to enter contracts.
• You consent to be contacted about the Program (email/SMS/phone). Standard carrier rates may apply.

2) FTC, Advertising, & Legal Compliance

• You must comply with all laws/regulations (e.g., FTC Endorsement Guides, CAN-SPAM, TCPA, GDPR/UK GDPR, CCPA/CPRA, and state/federal advertising rules).
• Clear disclosures required wherever you promote: e.g., “As an affiliate, I may earn a commission if you purchase through my link.” Disclosures must be clear, conspicuous, and proximate to the promotion (not buried).
• No deceptive, false, or unsubstantiated claims (including income claims or “guaranteed results”).
• No impersonation of LiveSotori; no pretending to be endorsed by platforms (e.g., Facebook/Meta, Google, YouTube).

3) Prohibited Conduct

• No self-referrals, self-purchases, or affiliate “hopping.”
• No rebates, cash-back, or incentives that mislead or distort buyer intent.
• No spam (email/SMS/DMs), robocalls, lead fraud, fake/fraudulent accounts, or cookie stuffing.
• No trademark bidding, domain squatting, or confusingly similar domains. No unauthorized use of our logos/creatives.
• No scraping or republishing our gated content, downloads, or paid materials.
• No misleading countdowns, false scarcity, fake testimonials, or forged screenshots.
• No illegal, hateful, harassing, defamatory, or otherwise harmful content or traffic sources.

4) Community Standards — Disparagement & Negativity

We value a respectful, positive culture. If you make disparaging remarks about LiveSotori, staff, affiliates, or customers; create a hostile/negative environment; or act in a way we deem harmful to our brand or community, we may terminate you from the Program immediately. Upon termination for cause under this section (or any section), you forfeit all unpaid commissions.

5) Links, Cookies & Attribution

• Use your assigned affiliate links only. Do not cloak or alter tracking parameters without written permission.
• Attribution is “last cookie wins” unless otherwise stated in a specific offer.
• We may lock or attribute a sale for a limited period (e.g., 6 months); after that, no commissions accrue unless specified.

6) Commissions, Payments & Threshold

• Commissions accrue only on valid, fully paid customer purchases that are not refunded or disputed within the refund/chargeback window.
• Payouts are made on our standard schedule (e.g., monthly or bi-monthly) and only when your account is in good standing and your balance meets the $100 minimum payout threshold.
• Commissions that remain unclaimed or unpaid due to missing info (e.g., tax forms) for 120 days from the date earned are forfeited.
• Chargebacks, refunds, or partial refunds will be reversed against your commission balance.

7) Taxes & Required Forms

• You are responsible for your own tax compliance in your jurisdiction.
• U.S. persons must submit a W-9; non-U.S. persons must submit a W-8BEN/W-8BEN-E as applicable before payouts.
• Send tax forms and tax-related questions to: taxes@livesotori.com.

8) Creative Assets & Brand Use

• Use only approved assets (or your own original content) and follow our brand guidelines if provided.
• No altering official guarantees/disclaimers or creating look-alike pages that could confuse users.

9) Termination; Suspension; Forfeiture

• We may suspend or terminate your participation at any time for any reason, including suspected fraud, high dispute rates, policy or law violations, or behavior damaging to our brand/community.
• We may withhold or cancel unpaid commissions if we believe (in our reasonable discretion) that orders are fraudulent, violate these Terms, or are likely to be refunded/charged back.
• For cause terminations (e.g., fraud, FTC violations, disparagement/negativity) result in forfeiture of all unpaid commissions.

10) Independent Contractor; No Agency

You are an independent contractor and not our employee, partner, joint venturer, or agent. You may not bind LiveSotori to any obligation.

11) Limitation of Liability

To the maximum extent permitted by law, LiveSotori is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, or lost data. Our aggregate liability to you shall not exceed the commissions actually paid to you in the 90 days preceding the claim.

12) Indemnification

You agree to defend, indemnify, and hold harmless LiveSotori and our officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, and expenses (including attorneys’ fees) arising from your promotions, content, or breach of these Terms or applicable law.

13) Force Majeure

We are not responsible for delays or failures due to events beyond our reasonable control, including acts of God, natural disasters, war, labor disputes, internet/hosting failures, or government actions.

14) Modifications

We may update these Terms or Program rules at any time. Continued participation after changes constitutes acceptance.

15) Governing Documents; Disputes

These Affiliate Terms incorporate and are subject to the LiveSotori Terms of Use, including: binding individual arbitration, class action waiver, Florida governing law & venue, severability, and the one-year claim filing limit. In the event of a conflict, these Affiliate Terms control for affiliate-specific issues; otherwise, the Terms of Use govern.
