By using the Services, you represent and warrant that: (a) you are at least 18 years old and legally able to enter into contracts; (b) you are not barred from using the Services under applicable law; (c) you will use the Services only in compliance with these Terms and applicable laws.

4. Intellectual Property & License

All content, videos, worksheets, logos, trademarks, and materials are owned by LiveSotori LLC or its licensors. We grant a limited, non-transferable, non-exclusive license for your personal, non-commercial use during your access term. You may not copy, share, resell, record, rebroadcast, or distribute members-only materials without our prior written consent.

5. Acceptable Use

• No unlawful, infringing, harassing, hateful, defamatory, or misleading content.
• No scraping, reverse engineering, automated extraction, spamming, or interference.
• No sharing or leaking of members-only materials outside the platform.
• Respect others’ confidentiality and privacy.

6. Right to Revoke Access

We may suspend, limit, or revoke your access to the Services at any time, with or without cause, including for violations of these Terms or for conduct we determine harmful to our business, other users, or third parties.

7. Availability; Modifications

We may modify, suspend, or discontinue any part of the Services at any time. We may update these Terms; continued use after updates constitutes acceptance.

8. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability).

9. Limitation of Liability

To the maximum extent permitted by law, LiveSotori LLC is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, lost data, or business interruption. Our aggregate liability shall not exceed the amount you paid for the applicable Service during the 90 days preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless LiveSotori LLC and our officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Services or violation of these Terms.

11. Force Majeure

We are not responsible for failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, government actions, labor disputes, internet or communications outages, or other force majeure events.

12. No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and LiveSotori LLC. You may not hold yourself out as our agent or representative.

13. No Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms at our discretion without notice.

14. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law. Subject to the Arbitration section below, you consent to exclusive jurisdiction in the state and federal courts located in Florida.

15. Binding Arbitration; Class Action Waiver

Any dispute arising out of or relating to these Terms shall be resolved by binding, individual arbitration administered by the American Arbitration Association (“AAA”).

• Individual Claims Only: You may bring claims only in your individual capacity, not as part of any class or representative action.
• Class/Representative Waiver: Class and representative actions are expressly waived.
• Small-Claims Exception: Either party may bring an individual claim in small-claims court in Orange County, Florida.
• Filing Deadline: Any claim must be filed within one (1) year after the cause of action arose or be forever barred.

16. Severability

If any provision is held unenforceable, the remainder shall remain in full force and effect. The parties agree that a court or arbitrator should modify any invalid term to make it enforceable while preserving its intent.

17. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.
